These terms are an agreement between you and Nesso Services Inc., which provides Flare Chat ("Flare," "we," "us," or "our"). They apply when you create an account or use Flare's mobile, web, or desktop apps or this website.
Using Flare
By using Flare, you agree to these terms and our Privacy Policy. If you use Flare for an organization, you confirm that you have authority to accept these terms for that organization. You must be at least 13 years old and legally able to enter into this agreement.
Keep your account information accurate, protect your sign-in methods, and tell us promptly if you believe someone has accessed your account without permission. You are responsible for activity through your account unless it results from our failure to use reasonable security measures.
Your content and permission to use it
You retain ownership of messages, photos, files, and other content you submit to Flare. Flare does not take ownership of your content.
When you upload, post, send, or otherwise make content available through Flare, you grant Nesso Services Inc., as the provider of Flare, a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, and display that content only as needed to operate, provide, and improve Flare. This license lasts only while the content remains on Flare, subject to reasonable backup, security, and legal-retention periods described in our Privacy Policy.
You represent that you own your content or have all permissions needed to share it and to grant this license. You are responsible for your content and for choosing the people and projects with which you share it.
Acceptable use
Do not use Flare to create, upload, share, or promote content or activity that:
- is unlawful, fraudulent, or intended to facilitate illegal activity;
- infringes intellectual property, privacy, publicity, confidentiality, or other rights;
- is threatening, abusive, harassing, hateful, violent, sexually exploitative, or otherwise objectionable;
- contains malware, spam, deceptive communications, or unauthorized advertising; or
- interferes with Flare, bypasses access controls, probes for vulnerabilities, or harms other users.
Do not access another person's account, scrape Flare, or reverse engineer the service except where applicable law expressly allows it.
Moderation and enforcement
We do not promise to monitor every message or file. We may review reports and investigate suspected violations. When we reasonably believe content or conduct violates these terms, applicable law, or the safety or rights of others, we may restrict or remove content, limit features, preserve information as legally permitted, or suspend or terminate an account. We may also report unlawful activity when required or permitted by law.
We will consider context and, when practical, provide notice or an opportunity to correct the issue. We may act without advance notice when reasonably necessary to address urgent harm, security risks, legal obligations, or repeated or serious violations.
Report objectionable content or infringement
Report objectionable content, abuse, or suspected intellectual-property infringement tosupport@nessocompanies.com. Identify the content or account, explain the concern, provide a way to contact you, and include any supporting information.
An intellectual-property notice should also identify the protected work or right, state that you have a good-faith belief the reported use is unauthorized, and confirm that the information is accurate and that you are the owner or authorized to act for the owner. We may remove or disable access to reported content while we review it, notify the person who shared it when appropriate, and accept a response or counter-notice at the same email address. We may terminate repeat infringers when appropriate.
Account deletion and termination
You may stop using Flare at any time. To permanently delete your account, openProfile → Delete account and confirm. As explained in our Privacy Policy, deletion removes your Flare account, profile, projects you own, connections, messages, notification devices, and authentication account. Other participants' content remains, and limited diagnostics, security logs, delivery records, or backups may remain through their normal retention periods or as required by law.
We may suspend or terminate your access under the moderation rules above or discontinue Flare. When the account ends, your right to use Flare ends, but the sections that by their nature should continue—including ownership, disclaimers, limits on liability, and governing law—remain in effect.
The service and third parties
Flare depends on third-party platforms and service providers for functions such as sign-in, chat, hosting, storage, notifications, analytics, and email. Their availability may affect Flare. Links or integrations do not mean we control or endorse a third-party service, and your use of one may be subject to its own terms.
We may change, add, or remove features and may temporarily limit Flare for maintenance, security, legal, or operational reasons. We will use reasonable care in operating the service but do not promise that every feature will always be available.
Disclaimers
To the fullest extent permitted by law, Flare is provided "as is" and "as available." Nesso Services Inc. disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that Flare will be uninterrupted, error-free, completely secure, or that content will never be lost. Keep an independent copy of content that is important to you.
Some jurisdictions do not allow certain warranty exclusions, so some of these disclaimers may not apply to you. Nothing in these terms limits rights that cannot lawfully be waived.
Limits on liability
To the fullest extent permitted by law, Nesso Services Inc., its affiliates, and their officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption arising from or related to Flare or these terms.
To the fullest extent permitted by law, their total liability for all claims arising from or related to Flare or these terms will not exceed the greater of the amount you paid for Flare during the 12 months before the event giving rise to the claim or $100. These limits do not apply where applicable law does not allow them or to liability that cannot lawfully be limited.
Governing law and disputes
These terms are governed by the laws of the State of Oklahoma and applicable United States federal law, without regard to conflict-of-law rules. Any court proceeding must be brought in a state or federal court located in or serving Tulsa County, Oklahoma, and each party consents to that court's jurisdiction and venue. Before filing a claim, please contact us so we can try to resolve the issue informally. Local law may give you rights or permit a different forum that these terms cannot change.
Changes and general terms
We may update these terms as Flare or applicable requirements change. We will update the date above and provide reasonable notice of material changes when appropriate. Changes apply prospectively. If you continue to use Flare after updated terms take effect, you accept them; if you do not agree, stop using Flare and delete your account.
These terms and the Privacy Policy are the complete agreement between you and us about Flare unless we sign a separate agreement with you. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. If these terms conflict with the Privacy Policy about how we handle personal information, the Privacy Policy controls for that issue.
